1. Introduction – Who We Are and What We Do

Vision11 is the flagship brand of Figment Technokart Private Limited, offering an innovative fantasy sports platform (“Platform”) where users can participate in skill-based online contests (“Contests”) aligned with officially recognized live sporting events (“Services”).

Our Services currently extend across a broad spectrum of sports, which may be updated from time to time, including but not limited to:

  • Cricket
  • Football
  • Basketball
  • Baseball
  • Volleyball
  • Kabaddi

Any individual who accesses, registers, or participates in any of the free-to-play fantasy sports contests available on the Platform shall hereinafter be referred to as a “User” (“You/Your”). All references to “We/Us/Our” denote Vision11, which collectively refers to the Vision11 mobile application and the Vision11 website (together referred to as the “Platform”).

2. Acceptance of Terms and Conditions

By continuing to use or access the Platform, You agree to be bound by these Terms and Conditions (“Terms”), along with any additional rules or terms we may notify or publish from time to time. Such additional terms, where applicable, shall prevail in the event of any inconsistency with these Terms.

By accepting these Terms, You expressly consent to receive communications from Us and/or Our affiliates, licensors, or business partners in relation to Our Services. These communications may include, but are not limited to:

  • Announcements and service updates
  • Administrative or direct messages
  • Promotional and advertising materials
  • Notifications sent directly to Your Account
  • Any other method of communication deemed appropriate by Us

You further agree to mark Our communications (whether via SMS, email, or any other medium) as safe and ensure they are not classified as spam or junk.

3. User Account

In order to access and participate in Our Services, You are required to register and maintain an account (“Account”) on the Platform. At the time of registration and/or during continued usage, You may be required to provide accurate and verifiable information and supporting documents, including but not limited to:

  • Full Name
  • Team Name
  • Mobile Number
  • Residential Address and State of Residence
  • Gender
  • Date of Birth
  • Aadhaar Number
  • Bank Account Details
  • UPI ID
  • Permanent Account Number (PAN)
  • Any other government-recognized identification

We reserve the right to conduct Know Your Customer (KYC) verification procedures as mandated by applicable law from time to time, and You agree to comply with such requirements.

4. Eligibility

To participate in any Contest hosted on the Platform, You must satisfy the following eligibility conditions:

  • You must be a resident of India; and
  • You must possess a valid Indian mobile number to create and operate an Account.

You further agree not to make any false or misleading declarations, disclosures, or representations to Us with the intent to bypass applicable laws, regulations, or requirements enforced under Indian jurisdiction (“Applicable Law”).

5. Contest Rules and Format

5.1 Contest Rules

By participating in any contest on the Platform, You expressly acknowledge and agree to the following:

  • To enter a Contest, You must create a fantasy team (“Team”) consisting of real-life athletes who are part of the designated sporting event.
  • Your Team must be finalized and submitted before the official start of the sporting event or within such adjusted timeline as may be specified by Us (“Contest Deadline”).
  • Certain Contests may only become operational if a minimum number of Users join them (“Pre-Specified Number of Users”).
  • In case of Multiple Entry Contests, Users may be allowed to submit more than one Team. However, Vision11 reserves the sole discretion to restrict the maximum number of Teams a User may submit in any Contest format.
  • From time to time, We may introduce promotional offers or special contests. Participation in such events shall be governed by specific promotional terms communicated separately.
  • Our toss updates and starting lineup feature are provided solely for guidance. This information is sourced from publicly available channels and/or trusted third-party data feed providers (“Data Feed Providers”), and We do not guarantee accuracy.
  • Before creating a Team, You are strongly advised to independently evaluate relevant information such as player statistics, pitch and weather conditions, recent performances, and team records.

5.2 Flexible and Non-Flexible Contests

  • Flexible Contest: Such Contests will run even if only two (2) Users have joined.
  • Non-Flexible Contest: These will only operate if the total number of participants equals the limit set by Us (for Public Contests) or by You (for Private Contests).

5.3 Contest Formats

a) Public Contests

  • Public Contests are open to all Users without restrictions.
  • They may be either Flexible or Non-Flexible.
  • We reserve the right to cancel a Public Contest if fewer than the Pre-Specified Number of Users join.
  • A Contest labeled as a “Guaranteed Contest” will be deemed operational once at least two Users or the minimum specified number of Users join.
  • Winners will be declared as per the Contest details published on the Contest page, irrespective of final participation levels.

b) Private Contests

  • A User can create a Private Contest and invite others to join (“Invited Users”).
  • To create a Private Contest, You must:
    1. Assign a Contest name.
    2. Fix the maximum number of participants (ranging from 2 to 20,000).
    3. Choose whether the Contest will be Flexible or Non-Flexible.
  • After creation, We will generate a unique Contest Code which You can share with Invited Users.
  • Invited Users can join only by entering the Contest Code.
  • Once created, the Contest terms cannot be modified.
  • Vision11 shall not be held liable if Invited Users are unable to join due to reasons beyond Our control.

5.4 Winning

a) Winner Declaration

  • Teams earn points based on the real-life performance of the selected players
  • The Team with the highest aggregate score in the Contest will be declared the Winner(s).
  • The number of Winners and prize details shall be published on the Contest page prior to the start of the Contest.

b) General Rules for Winners

  • The User with the highest points will be eligible for prizes as specified.
  • In case of a tie, the prize will be split equally among tied Winners, unless otherwise specified.
  • We may alter prize structures at Our discretion, prior to the Contest Deadline.
  • Prizes are subject to additional terms notified on the Platform.
  • We reserve the right to disqualify Winners in cases where:
    • Information or documents submitted are false, misleading, fabricated, or incomplete.
    • A User creates Teams on behalf of others.
    • A User breaches these Terms.

    c) Tabulation and Scoring

    • Scoring is based on data from official sports organizers and/or Data Feed Providers.
    • In case of discrepancies, We will make reasonable efforts to rectify errors once identified.

    d) Verification of Winners

    • Winners may be contacted via their registered email or mobile number.
    • Verification requirements and documents will be communicated during this process.
    • If a Winner does not receive their prize, they must contact Our support team within 48 hours of the Winner declaration.
    • Our decision regarding prize disbursement shall be final and binding.

    5.5 User Conduct

    a) Account Information

    • Each User may only create one Account.
    • Information provided must be accurate, current, and genuine. False details, impersonation, or forged documentation will result in disqualification.
    • Users must promptly update Account details upon changes and notify Our support team in case of unauthorized use.
    • Contest-related disputes must be raised within 48 hours of Winner declaration.

    b) Confidentiality

    • Users are responsible for safeguarding their login credentials and OTPs.
    • Users must not attempt to gain unauthorized access to other accounts.

    c) Compliance with Law

    • Users shall comply with all applicable laws and refrain from engaging in illegal activity.

    d) Violation of Terms

    • Users must not exploit promotions, engage in unfair play, collusion, insider trading, or manipulation of the Platform’s systems, content, or intellectual property.

    e) Responsible Play

    • Vision11 promotes responsible gaming. Users are encouraged to play within their means and seek support if required.

    5.6 Our Rights and Obligations

    a) Content Rights

    We reserve the right to remove any unlawful, objectionable, or infringing content uploaded by Users and take any necessary action regarding such material.

b) Contest Rights

We may, at Our discretion:

  • Revise the list of available players for selection.
  • Cancel or withdraw any Contest if required by law or regulation.
  • Adjust Contest Deadlines or abandon Contests under certain circumstances.

5.7 Contest Abandonment

A Contest may be abandoned in scenarios beyond Our reasonable control, including but not limited to:

  • Non-cricket sports rescheduled more than 10 minutes before Contest Deadline.
  • Cricket matches where the deadline is extended by over 10 minutes or 3 overs are bowled prior to the official start.
  • Postponements due to weather, toss delays, team no-shows, or technical issues where start time cannot be confirmed.

5.8 Contest Deadline Adjustments

We may adjust Contest Deadlines under the following conditions:

  • For non-cricket sports rescheduled earlier, deadlines may be extended up to 10 minutes beyond actual start.
  • For cricket, deadlines may be adjusted by up to 10 minutes or 3 overs (whichever is lower).
  • If the start time cannot be determined from public sources, deadlines may be extended until 3 overs are bowled.
  • In cases of weather, toss delays, or technical issues, We may extend the deadline in line with the actual start time.

Our Services

We reserve the right, at our sole discretion, to:

  • Modify, suspend, or discontinue any portion of our Services, including limiting your access to specific Contests or features on our Platform.
  • Suspend or terminate your account in accordance with directions from competent authorities or government agencies.

Breach of Terms

If you are found in violation of these Terms, or if we have reasonable grounds to believe so, we may take one or more of the following actions:

  • Temporarily restrict, suspend, deactivate, or permanently terminate your account (along with any information provided by you).
  • Disqualify you from participating in ongoing or future Contests.
  • Withhold or revoke any prizes that may otherwise be due to you.
  • Initiate civil and/or criminal proceedings, including recovery or forfeiture of winnings, as deemed appropriate.

Intellectual Property Rights

All intellectual property rights in connection with our Platform, including but not limited to the following, are owned exclusively by us and/or our partners, licensors, or affiliates:

  • Contests and game formats
  • Underlying software, tools, and technology
  • Website and app content, including articles, guides, and written material
  • Logos, trademarks, trade names, and brand elements
  • Visual elements such as graphics, photos, illustrations, animations, and video/audio clips
  • Advertising content and campaigns

(collectively referred to as “Our Intellectual Property”).

You agree not to reproduce, copy, distribute, publish, create derivative works from, or otherwise exploit Our Intellectual Property without our prior written consent.

With respect to content you submit to our Platform (“User Content”), you confirm that:

  • You are the rightful owner of all rights associated with your content.
  • Your content does not infringe upon the intellectual property rights of any third party.
  • We shall not be held liable for your User Content in any manner.

You also grant us a non-exclusive, worldwide, royalty-free, perpetual, sublicensable, and transferable license to use, reproduce, display, distribute, adapt, and create derivative works from your content for purposes including:

  • Display on our Platform,
  • Storage in our databases,
  • Promotional or marketing use across any media,
  • Sharing with other users (where applicable).

Privacy Policy

All personal and financial information you share with us will be handled in accordance with our Privacy Policy, available on the Platform. You are encouraged to review it to understand how your data is collected, processed, and protected.

Grievance Redressal

If you believe your rights are violated — whether due to objectionable User Content, infringement of intellectual property, or any other concern — you may raise a complaint through our grievance mechanism. Such complaints should ideally be submitted within 30 days of the event so we can investigate and resolve the issue promptly.

Publicity

By accepting a prize, you grant Vision11 and its affiliates an irrevocable, worldwide, royalty-free license to use your name, photograph, likeness, voice, and/or testimonial for promotional, advertising, or marketing purposes, in any media, without further consent or compensation.

You may also be invited to participate in promotional events, press releases, or ceremonies organized by us.

Limitation of Liability & Indemnity

By using our Platform, you agree to indemnify Vision11, its directors, employees, partners, affiliates, and licensors (“Representatives”) against all claims, costs, damages, and liabilities arising from:

  • Your use of the Platform,
  • Any negligence, unlawful activity, or breach of Terms on your part.

Neither Vision11 nor its Representatives shall be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use our Services, including loss of data, financial loss, or missed opportunities.

You expressly waive any claims against us in relation to accidents, losses, or damages that may occur while using the Platform, participating in Contests, or receiving prizes.

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Surat.

In case of a dispute:

  • The concerned party must issue a written notice (“Notification”).
  • The parties will first attempt to resolve the matter through discussions within 15 days of receipt of such notice.
  • If unresolved, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
    • Arbitration will be conducted in English.
    • The seat and venue shall be Surat.
    • A sole arbitrator will be appointed by us.
    • The arbitral award shall be binding on both parties.

This arbitration clause does not prevent us from seeking injunctive or equitable relief from a competent court when necessary.

Settlement of Payments, Government Deductions, and TDS

All payments, withdrawals, or settlements made to Users from the Platform shall be processed strictly in accordance with the applicable laws of India. The final settlement of any winnings shall be subject to mandatory deductions, including but not limited to income tax deductions at source (TDS) under Section 194B of the Income Tax Act, 1961, Goods and Services Tax (GST), or any other statutory levies as may be prescribed from time to time. The Company shall duly deposit such deductions with the relevant Government authorities and provide corresponding records (such as Form 26AS entries or certificates) to the User. Users acknowledge that once such deductions are deposited with the Government, the Company shall have no further liability to refund, adjust, or reimburse such amounts, and the User shall independently claim any eligible refund from the appropriate authorities.

Technical Glitches and Remedial Measures

While the Company strives to maintain the highest standards of accuracy, stability, and uninterrupted functionality of the Platform, Users understand and agree that technical glitches, system errors, network failures, or other unforeseen malfunctions may occasionally occur. In such cases, the Company shall take all necessary remedial steps, including but not limited to: investigating the incident, rectifying the error, issuing adjustments, or reversing/validating transactions as deemed appropriate at its sole discretion. The Company’s decision in such matters shall be final and binding. Users agree that the Company shall not be held liable for any indirect, incidental, or consequential losses arising out of such technical issues, provided that the Company has acted in good faith and taken reasonable corrective measures.

Additional Terms

  • These Terms supersede any prior agreements between you and Vision11 regarding the Platform.
  • Failure on our part to enforce a right or provision shall not constitute a waiver of that right.
  • If any clause herein is deemed invalid or unenforceable, the remaining provisions shall remain in effect.
  • Employees of Vision11 are not eligible to win prizes.
  • You may be subject to additional terms for specific contests, which shall override these Terms in case of conflict.
  • We reserve the right to assign our rights and obligations under these Terms to another entity if required.

Disclaimers

  • We are not responsible for interruptions caused by force majeure events beyond our control (e.g., natural disasters, strikes, Government laws & Regulations or technical failures).
  • Accessing our Platform is at your own risk; we disclaim liability for injuries, losses, or damages arising from your use.
  • Third-party advertisements, links, and content displayed on our Platform are not endorsed by us; reliance on such content is at your sole risk.
  • We provide all content on an “as is, as available” basis without any warranties.
  • We are not liable for errors in fantasy points, winner calculations, or lineup data obtained from third-party sources.
  • We do not guarantee the quality or suitability of prizes.
  • We are not responsible for downtime due to network outages, telecom issues, malware, or technical glitches.
  • We disclaim responsibility for miscommunication, including errors on your part that affect prize eligibility.
  • You are solely responsible for keeping confidential information (such as OTPs) secure; any misuse shall not be attributed to us.
